Flagging
A shareholder of a listed company is obliged to inform the Financial Supervisory Authority about changes in his or her shareholdings and voting rights in accordance with the limits stipulated in the Securities Markets Act, as well as to inform the listed company which the change in shares concerns. The listed company must publish the flagging notification made by the shareholder.
The Securities Markets Act stipulates the limits within which a flagging notification must be made. A notification must be made if a shareholding reaches or exceeds 5, 10, 15, 20, 25, 30, 50, 66.7 (2/3) or 90 percent of a company’s voting rights or number of shares, or if it falls below 5, 10, 15, 20, 25, 30, 50, 66.7 (2/3) or 90 percent of a company’s voting rights or number of shares.
